1. Eligibility

Each Uxia account is intended for use by a single individual only. Sharing account credentials with others, including teammates or collaborators, is strictly prohibited. If your organization requires access for multiple users, you must subscribe to a team custom plan, which provides individual accounts for each authorized user.

Uxia reserves the right to suspend or terminate any account that is found to be shared between individuals. In cases of misuse, we also reserve the right to pursue legal action or damages, particularly if account sharing circumvents our pricing or access restrictions.

4. Use of the Service

Subject to these Terms, Uxia grants you a non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

You agree not to:

• Use the Service for any unlawful or unauthorized purpose
• Modify or hack the Service, or falsely imply association with Uxia
• Infringe the intellectual property rights of Uxia or others
• Transmit viruses or malicious code
• Resell, sublicense, distribute, or otherwise commercialize access to the Service without prior written consent from Uxia

5. User Content

You retain ownership of any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant Uxia a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of providing and improving the Service.

You are solely responsible for your User Content and the consequences of posting or publishing it. Uxia reserves the right to remove any User Content that violates these Terms or is deemed objectionable.

Additionally, unless otherwise agreed in writing, you grant Uxia the right to use your company name, logo, and brand identifiers for the limited purpose of identifying you as a customer on our website and marketing materials. You may opt out of this usage at any time by contacting us at hello@uxia.app.

6. Subscription and Payment

Certain features of the Service require a paid subscription. By subscribing, you agree to pay the applicable fees and any taxes associated with your plan. The features, pricing, and conditions of each subscription plan are described on the respective plan pages available on our website. It is your responsibility to review these conditions before subscribing.

Unless otherwise stated, all payments are non-refundable. Subscription fees are billed in advance and will renew automatically unless cancelled in accordance with your plan's terms.

Uxia reserves the right to modify subscription pricing at any time. If we make changes to the pricing of your current plan, we will notify you in advance via email, giving you the opportunity to review the changes and cancel your subscription before the new pricing takes effect.

Additional terms may apply depending on the specific plan you select.

Uxia processes payments through Stripe, a secure third-party payment gateway. We do not store, process, or transmit cardholder data such as card numbers, expiration dates, or authentication codes. All such data is handled directly by Stripe in accordance with PCI-DSS standards.

Payments must be made using one of the methods accepted on our website. Depending on your location and the currency selected, your financial institution may apply exchange rates, international transaction fees, or charge you in a different currency than displayed. Uxia is not responsible for any such charges.

7. Intellectual Property

All rights, title, and interest in and to the Service, including all intellectual property rights, are and will remain the exclusive property of Uxia and its licensors. Nothing in these Terms grants you any rights to use Uxia's trademarks, logos, domain names, or other brand features without prior written consent.

8. Termination

Uxia may suspend or terminate your access to the Service at any time, with or without cause or notice, if you violate these Terms or for any other reason. Upon termination, your right to use the Service will immediately cease.

9. Disclaimers

The Service is provided on an "as is" and "as available" basis. Uxia disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. Uxia does not guarantee that the Service will always be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the maximum extent permitted by law, Uxia shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Spain, and the parties hereby consent to personal jurisdiction and venue therein.

12. Changes to Terms

Uxia reserves the right to modify, update, or replace any part of these Terms of Service at any time, at our sole discretion. If a revision includes material changes, we will provide you with reasonable advance notice, typically via email or through the Service interface.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service before the changes take effect.

13. Disclaimer on Generated Content

Uxia provides AI-generated content and insights for informational and research purposes only. While we use verified technologies and best-in-class models to increase the reliability and accuracy of our UX testing, you acknowledge that Uxia does not guarantee complete precision or account for every real-world variable.

All decisions made based on insights generated through the Uxia platform are entirely your responsibility. Uxia does not guarantee the complete accuracy, completeness, or applicability of any generated output, and we shall not be liable for any business decisions, losses, or damages resulting from reliance on such content. Users are encouraged to combine Uxia insights with other qualitative and/or quantitative validation when making high-impact product or strategic decisions.
